Terms of Service

Welcome to OpenCloseOps. By downloading, installing, or using the OpenCloseOps application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
1. Description of Service
OpenCloseOps is a daily checklist management application designed for multi-location businesses. The App allows users to create and complete opening and closing checklists, manage teams, track performance, and receive notifications.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the App. By using the App, you represent and warrant that you meet these requirements.
3. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
4. Subscriptions and Payments
- The App offers a free tier and paid subscription plans (Pro and Scale) with additional features.
- Subscriptions are billed through Apple's In-App Purchase system. By subscribing, you also agree to Apple's Licensed Application End User License Agreement.
- Subscription payments are charged to your Apple ID account at confirmation of purchase.
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
- You can manage and cancel your subscription at any time through your device's Settings > Apple ID > Subscriptions.
- No refunds are provided for partial billing periods. Refund requests must be directed to Apple through their Report a Problem page.
- We reserve the right to change subscription pricing with at least 30 days' notice. Existing subscribers will be notified before any price change takes effect.
5. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload content that is offensive, defamatory, or infringes on the rights of others.
- Attempt to gain unauthorized access to other users' accounts or data.
- Reverse engineer, decompile, or disassemble any part of the App.
- Use the App to transmit spam, malware, or any harmful content.
- Interfere with or disrupt the App's servers, networks, or infrastructure.
- Share your account credentials with others or allow multiple individuals to use a single account.
6. User Content
- You retain ownership of all content you upload to the App, including photos, checklist data, comments, and business information ("User Content").
- By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display it solely to provide the App's functionality to you and your team.
- You are solely responsible for your User Content and must ensure it does not violate any laws or third-party rights.
- We do not monitor or review User Content, but we reserve the right to remove content that violates these Terms.
7. Team Features
- Account owners can invite team members and assign roles (manager, employee).
- Owners and managers may have access to team members' checklist data and activity within the App.
- By joining a team, you consent to your checklist data being visible to the team owner and managers.
- Team owners are responsible for ensuring their team members comply with these Terms.
8. Intellectual Property
The App, including its design, code, features, and branding, is owned by OpenCloseOps and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-transferable, non-exclusive license to use the App for its intended purpose.
9. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- We do not guarantee that the App will be uninterrupted, error-free, or secure.
- The App is a management tool and does not replace professional health, safety, or compliance inspections.
- We are not responsible for any business decisions made based on data collected through the App.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENCLOSEOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.
Our total liability for any claim arising from these Terms or use of the App shall not exceed the amount you paid for the App in the 12 months preceding the claim, or $100, whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless OpenCloseOps, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.
12. Service Availability
- We strive to maintain the App's availability but do not guarantee uptime.
- We may temporarily suspend the App for maintenance, updates, or security reasons.
- We reserve the right to modify, suspend, or discontinue the App (or any part of it) at any time with reasonable notice.
13. Termination
- You may stop using the App and delete your account at any time from the Profile screen.
- We may suspend or terminate your account if you violate these Terms.
- Upon termination, your right to use the App ceases immediately. Data deletion follows our Privacy Policy.
- Active subscriptions should be canceled separately through Apple's subscription management.
14. Governing Law and Disputes
- These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
- Any disputes arising from these Terms or use of the App shall first be resolved through good-faith negotiation.
- If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in any court of competent jurisdiction.
- You agree to resolve disputes on an individual basis and waive any right to participate in class actions.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. If we make material changes, we will notify you through the App or via email. Continued use of the App after changes constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
